Program Description
 
Insurance is an essential element of every commercial real estate transaction.  These policies are also often the funding mechanism for indemnity provisions in real estate contacts.  But these policies are complex financial instruments with opaque terms that do not always conform with the demands of a transaction.  What’s insurable and what’s not, how is insurance evidenced and how does it relate to indemnity, who can make a claim and how is insurance incorporated into underlying real estate documents?  And how do they relate to funding and the actual payment of indemnity claims. This program will provide you with a real-world guide to insurance in real estate development, ownership, and leasing, drafting indemnity provisions in a transaction’s documentation, and how the two relate to each other.  
 
- Legal, economic, and practical framework of insurance in commercial real estate – development, ownership, leasing
- Understanding indemnity in real estate transactions and relationship to insurance
- Forms of indemnity and common errors in drafting that impact enforcement
- Types and roles of various forms of insurance – casualty, business/rent interruption, CGL, other specific forms
- Practical and legal differences among named insureds and additional insureds
- Understanding relationship of co-insurance, valuation, and agreed value endorsements
- Certificates of insurance and what they legally and practically get landlords
- How indemnity claims are made and paid form insurance policies
- Integration of insurance into real estate documentation
 
Faculty:
 
Richard R. Goldberg is a retired partner, resident in the Philadelphia office of Ballard Spahr, LLP, where he established an extensive real estate practice, including development, financing, leasing, and acquisition.  Earlier in his career, he served as vice president and associate general counsel of The Rouse Company for 23 years.  He is past president of the American College of Real Estate Lawyers, past chair of the Anglo-American Real Property Institute, and past chair of the International Council of Shopping Centers Law Conference.  Mr. Goldberg is currently a Fellow of the American College of Mortgage Attorneys and is a member of the American Law Institute.  Mr. Goldberg received his B.A. from Pennsylvania State University and his LL.B. from the University of Maryland School of Law.

Each program will run from 11:00 a.m. to 12:00 p.m. M.T. (60 minutes each).
