When diligence is not conducted vigorously, misunderstandings about crucial financial and business facts may go unaddressed and the essential benefit of the bargain among the parties potentially lost through a failure to make an effort. Diligence can be wide in scope and costly, potentially hobbling a transaction, or with careful planning it can be tailored to areas of a specific transaction most likely to give rise to issues. This program will provide you with a practical guide to planning the diligence process, understanding the most areas of inquiry depending on the transaction, and checklists.

Richard A. Johnson is an attorney in the Washington, D.C. office of Venable, LLP, where his practice focuses on mergers and acquisitions, financing transactions and general corporate planning matters. He represents clients in a wide range of industries and has worked with publicly traded, emerging growth and start-up companies. During the financial crisis, he represented the U.S. Treasury Department in connection with the Troubled Asset Relief Program (TARP).  Mr. Johnson received his A.B. from Duke University and his J.D., cum laude, on Boston College Law School.
