Program Description
 
Transactional attorneys are frequently asked by clients about business torts - those non-contractual claims arising between companies and their departing employees over valuable “know-how” or non-competes, and between companies and their lenders, competitors and vendors. Though frequently asserted, business torts are often misunderstood by clients. This program will provide transactional attorneys with a practical guide to the range of business torts, the circumstances in which they are validly asserted, and how to measure damages. The program will focus on two categories of business torts - claims between a company and departing employees and those between a company and other businesses.
 
 
Day 1: July 13, 2010:
 
- Trade secret misappropriation by departing employees  elements of a valid claim, how to prevent loss intangible assets, and how to redress once it's too late
- Enforcing non-competes  what's valid, what's not, and what happens when you lay off employees
- Business torts in employee recruitment and hiring
 
Day 2: July 14, 2010:
 
- Tortious interference with a business expectancy/interference with a transaction - elements of a valid claim and measuring damages
- Breach of fiduciary duty/good faith and fair dealing - practical circumstances in which it arises and remedies
- Fraudulent and negligent misrepresentation - how they arise in commercial negotiations and determining when a claim is strong 
 
 
Faculty
 
William J. Kelly, III is a founding member of Kelly, Stacy and Rita, LLC, and has nearly 20 years experience in the areas of employment and commercial litigation.  In the area of employment law, he litigates trade secret, non-compete, infringement and discrimination claims in federal and state courts nationwide and has advised Fortune 50 companies on workplace policies and practices.  In the area of commercial litigation, his experience includes class action litigation, breach of contract and indemnity, mass-claim complex insurance litigation, construction litigation and trade secrets.  Earlier in career, he founded 15 Minutes Music (www.jpfmusic.com), an independent music production company.  Mr. Kelly earned his B.A. from Tulane University and his J.D. from St. Louis University School of Law.
