Your expert presenter, Andy Kaiser, CPA, will address how "after the deal" disputes and risks can be minimized or avoided by addressing material issues early in the M&A process, including how key provisions regarding such matters as closing balance sheet adjustments, earnout payments, escrow and indemnification in initial documents can benefit your client, whether buyer or seller. Attend this program and better understand what issues to put at the top of your list, and your client's options for avoiding or at least minimizing the risk of post-closing litigation. Mr. Kaiser will also discuss strategies for handling post-closing issues when they are not timely addressed.

Meet Your Presenter:
 
Andy Kaiser, CPA, Tax Partner, Eide Bailly, Golden, Co, has more than 14 years public accounting experience providing tax services to a variety of industries including financial institutions, professional services, construction and manufacturing. His experience includes guiding clients to and through market acquisitions and dispositions. Recent transactions include a $26mm asset sale, $147mm stock sale and $12mm capital infusion. Additionally, he has significant experience with large multi-state partnership and S-corporation entities. He also frequently consults with client on issues such as options for lowering the business and key shareholder’s effective tax rate, key employee compensation plans, buy-sell options and cash flow planning. Assisting clients with tax planning to ascertain potential tax opportunities as well as tax liabilities prior to engaging in transactions is also a service he provides.
