The Nuts & Bolts of a Carve-Out Transaction: M&A Breakfast Series - Webinar

Do your clients have the right assets in their portfolios? Are some underperforming or not core to their business? Do some have more value for another owner or as a separate entity? The session will provide a basic overview of M&A carve-out transactions, addressing key divestiture value drivers, from strategy to execution. Though introductory in nature, we will cover a wide range of topics to help you become more familiar with the many components of these transactions.
 
- Assess a portfolio of assets to determine strategic fit, underlying value, and contribution to your overall business.
- Develop a separation road map for key functions, including finance, HR, accounting, and IT, considering regulatory requirements and tax planning.
- Design a separation road map and prepare for negotiations with bidders.

The program will be submitted for CLE accreditation in Colorado. If you need to seek accreditation in another state, please review the process and requirements for that individual state. - Value story development and delivery
        ~ Helping to develop a compelling value story for various buyer types; preparing supporting carve-out financial statements and diligence reports with market, operational, tax and financial analyses (i.e., audited versus deal-basis financial statements); and determining valuation
- Operational separation planning
        ~ Developing a separation road map for key functions, including finance, HR, accounting and IT; considering regulatory requirements and tax planning
- Preparation for negotiations
        ~ Preparing management for interaction with bidders, and helping to develop fact-based positions for purchase price adjustments, closing schedules and transitional service agreements
