The Colorado public benefit corporation is the newest form of business organization to be created by state law. Sale of Business Assets in Bankruptcy
Presented by Jeremy Peck, Esq. and Adam Hirsch, Esq.
A business entity, other than a sole proprietorship, has two main choices in filing bankruptcy: Chapter 7 liquidation or Chapter 11 reorganization or liquidation. In determining whether to consider bankruptcy among the tools available to liquidate the assets of a business, one should consider the costs of bankruptcy and the potential benefits. At first glance, bankruptcy sometimes appears to be an easy answer to a difficult financial situation. “Easy” is not, however, the word that many bankruptcy practitioners would choose.

Noncompetition, Non-solicit, and Confidentiality Agreements

This segment will address restrictive covenants in the employment context. Issues specific to agreements not relating to employment will also be discussed, though as will be seen, the distinction between employment and other commercial agreements may be one without a substantive difference.
