Program Description:
Lawyers who worked on the combination of Holme Roberts & Owen LLP and Bryan Cave will discuss their experiences in combining two firms each of which had well over 100 years of history. Topics include, the process of deciding to combine and with whom, dealing with different capital structures, syncing salaries and compensation, sorting out liabilities (retirement plans, leases, professional claims), meshing the cultures, communicating with partners and staff.  Lawyers will assess, nine months after the combination, what worked well and what might be done differently.

Kathryn Elliott Love, Esq., practices in the areas of general corporate matters, mergers and acquisitions, joint ventures, strategic alliances, commercial agreements and private placement finance, with a particular emphasis on the representation of closely held businesses and entrepreneurial companies. She represents buyers and sellers in stock and asset purchases and sales as well as mergers. Ms. Love also has broad experience in drafting and counseling companies regarding employment, consulting, licensing, confidentiality and non-compete agreements.
 
Charles J. Maguire, Jr., Esq., represents a broad array of clients in a full range of corporate and securities matters, including public and private securities offerings, mergers and acquisitions, and corporate finance transactions. Mr. Maguire brings a pragmatic, solution-based approach to the practice for our clients, which is essential when working on complex transactions. His overriding objective is to bring added value to client relationships. Mr. Maguire counsels companies in all aspects of their business and in a variety of industries, including
telecommunications, technology, consumer products, and sports and
entertainment. Mr. Maguire previously chaired HRO's Corporate Department from 2000-2007.
 
Randall H. Miller, Esq., is Managing Partner of the firm's Denver office and one of six members of the firm-wide Management Committee, which manages the day-today operations of the firm. Previously, Randy was the Managing Partner of Holme Roberts & Owen (one of the oldest and largest firms based in Colorado) until its combination with Bryan Cave on January 1, 2012. Randy regularly assists clients with the intersection of business and law. Randy also regularly tries cases focused on business disputes and transitional periods-whether buying or selling, hiring and firing, or other change agents.
 
W. Dean Salter, Esq., concentrates his practice on corporate law and securities and corporate governance issues. In his securities practice, Mr. Salter represents clients in matters relating to tender offers, public offerings of debt and equity securities, private placements, periodic reports and proxy statements, mergers and acquisitions, joint ventures, and public debt work-outs. He also advises boards of directors on governance matters and Sarbanes-Oxley compliance.
