The Ins and Outs of UPMIFA: Investments, Endowment Expenditures, and More!
Program Highlights:
This program will focus on the Uniform Prudent Management of Institutional Funds Act, or UPMIFA, which became Colorado law in 2008. UPMIFA applies to many funds, including endowments, that are held by nonprofit organizations. The law incorporates more modern concepts and comprehensive guidance for nonprofit managers, especially in the areas of investment and endowment spending. Ms. Leaffer and Ms. Farr will discuss the provisions on investment, spending, and modifications to funds, and highlight the fundamental ways in which UPMIFA differs from its predecessor.

Karen Leaffer is an attorney whose practice focuses exclusively on corporate and tax issues affecting nonprofit organizations and charitable foundations. Although her practice is focused on the nonprofit area, over her more than 20-year legal career, she has accumulated significant experience in related areas directly impacting nonprofit organizations, including complex commercial and financing transactions.
Karen serves as a resource to nonprofit organizations and their advisors on important legal issues that uniquely affect nonprofits, including obtaining and maintaining tax-exempt status; qualifying for public charity status; the regulation of private foundations, supporting organizations, and donor-advised funds; intermediate sanctions and self-dealing; executive compensation audits and reporting; lobbying and political activities by nonprofits; grant-making, including international grants, scholarship awards, prizes, and disaster relief grants; the unrelated business income tax; corporate governance and the implications of Sarbanes-Oxley for nonprofits; structuring and reorganizing nonprofit systems; use of joint ventures and taxable subsidiaries; charitable giving and corporate sponsorships; endowment fund and restricted gift management; Congressional reforms of the charitable sector; and IRS audits and compliance programs.
Karen is the managing editor and a contributing author of A Guide for Colorado Nonprofit Organizations. She is a member of the Tax & Legal Advisory Committee of the Association of Small Foundations. She is also past chair of the Nonprofit Entities Subsection of the Colorado Bar Association and past chair of the Tax Section. She is a national speaker and has published several articles on legal issues of importance to nonprofit organizations and foundations. She is listed in The Best Lawyers in America® 2007-2010, Non-Profit/Charities
Law, and in Super Lawyers® Non-Profit, 2006-2010.

Becky Farr is an associate at Karen Leaffer LLC in Denver, where she focuses on taxation, corporate, and charitable giving matters that impact nonprofit organizations. Becky has worked on matters involving applications for tax-exempt status and reclassification of status; corporate governance for nonprofits; Colorado income tax credits; fundraising and state raffle laws; division of private foundations; program-related investments; dissolution of nonprofits; and private foundation rules such as self-dealing, taxable expenditures, and excess business holdings.
Becky received her Master of Laws in Taxation in 2008 from New York University, where she focused her studies on issues surrounding estate planning and charitable giving. She received her J.D. from the University of Colorado School of Law, where she worked as a research assistant for an estate planning professor and was a Casenote and Comment Editor on the Journal on Telecommunications and High Technology Law. Becky also completed her undergraduate studies at the University of Colorado, from which she received a B.S. in journalism.
