CBA CLE and the CBA Business Law Section are pleased to bring you another great new program, “Introduction to Mergers and Acquisitions!”
Whether you are new to corporate law, in-house counsel, in the investment arena or simply want a refresher, then plan on spending the day with us. Our program begins with a look at how to structure the deal. There are many issues you first need to consider before the deal can move forward. The next segment introduces you to the investment banker's perspective. You will learn about methods of valuation, when and how to use investment banks and the business risks involved in these transactions. Our morning closes with a look at drafting the acquisition agreement. You will receive practical tips from an experienced practitioner.
The afternoon begins with a segment highlighting due diligence issues. Next, you will learn about the information the board of directors needs to consider as well as their fiduciary duties. After this, our program moves into deal protection and takeover defenses. Among other issues, learn the fundamentals of protecting your deals through termination fees, no shops⁄fiduciary outs. The day would not be complete without a review on essential documents ancillary to an M&A transaction. Our day concludes with a valuable mock M&A negotiation that will provide insight into the many different ways in which a transaction may play out.
