How to Avoid Post-Closing Disputes in M&A Transactions: An Accountant's Perspective

May 2010

How to Avoid Post-Clsoing Disputes in M&A Transactions: An Accountant's Perspective

M&A Breakfast CLE Series

Program Description

While M&A activity may be down, changes in the accounting world are on the rise.  From reporting assets at fair value (as opposed to historical cost) to the convergence of United States Generally Accepted Accounting Principles (GAAP) and International Financial Reporting Standards, accounting is changing.  From an M&A perspective, these changes will likely dovetail into the historical accounting issues in M&A transactions.

This session will explore such topics as:

- Why stating in your financial statements, “prepared in accordance with GAAP consistently applied,” is not enough
- Common accounting disputes
- How to avoid or minimize post closing disputes
- Prudent accounting practices to follow as you position a business for sale

This program's instructors include Peter Schulman and Matthew Wester, CPAs who serve as testifying experts in M&A disputes and as neutral accounting arbiters.  Each of the instructors brings his extensive experience in these matters and his unique perspective to the program.

Who Should Attend:

- M&A Attorneys
- In-house Counsel
- Accounting and Financial Industry Professionals
