Introduction to Choosing a Colorado Business Entity

This full-day program introduces you to the legal considerations and not-so-legal considerations you must account for when advising your client as to the best entity structure for their business.  The program starts off with an overview of the legally recognized business entities in Colorado:  proprietorships, partnerships, limited liability companies and corporations.  From there, it reviews the practical issues that each business entity will face during the course of its life. 
 
Taxes may not seem the way to start out a choice of entity program – yet, the tax consequences to your client impacts the formation, operation and the winding down of the company.  The importance of taxes should not be overlooked.  How much money does your client want to invest in their business?  Is your client seeking a loan or private investors in order to start the business?  The next segment highlights how capital formation issues also affect the entity structure.  The morning concludes with a brief look at executive compensation, only because we didn't know where else to put it in the program.
 
Our afternoon begins with a look at the governance and management structure of each business entity.  Who has the authority to bind the company?  What are the limits of decision-making for partners and managers?  What types of information do board members and directors require in order to fulfill their duties and responsibilities?   After this, you will learn about the liabilities that board members, directors, owners and managers have not only to each other and the company, but also to third parties.  This hot area of the law continues to appear on newspapers throughout the U.S.  You do not want to miss this discussion.   “Final exits” – in the business world, they may not be done with grace and style, but they will always need an attorney.  Our attorney discusses the different types of exit strategies and how each is effectuated.  The day concludes with a presentation from the Colorado Secretary of State's Office.  It does not matter what type of entity your client chooses, you will always need the Secretary of State's office.  They are a great resource – and, their online technology is one of the best in the country!
