About the Book:
This Guide covers the legal aspects of forming nonprofit entities in Colorado, with specific chapters on the federal and state tax treatment of such entities, and avoiding the pitfalls of maintaining a nonprofit corporation's tax exempt status.
Written by more than 25 of Colorado's top corporate attorneys, many of whom specialize in advising and representing nonprofit, tax-exempt organizations, the guide covers the legal aspects of forming nonprofit entities in Colorado, the fundamentals of choosing the form of the entity, the requirements of maintaining the entity's tax-exempt status, and the complex and ever-changing tax laws - federal, state, and local - that impact nonprofit organizations. As a guide for the practitioner, many of the authors have included sample forms, tables, and references to online resources, which enhance the text. A comprehensive subject index directs the reader to the information needed to serve clients in a law practice.
-Part A covers the choice of entities available to Colorado nonprofit organizations and their creation, operation, and governance.
-Part B covers the full range of tax issues affecting Colorado nonprofit organizations that are exempt from federal income tax, as well as their state/local tax treatment.
-Part C discusses the tax incentives available for donations to charitable organizations, the federal and state regulation of fundraising activities by Colorado nonprofit organizations, and the standards imposed by UPMIFA for managing and investing charitable funds, endowments, and restricted gifts.
-Part D addresses the various legal considerations of Colorado nonprofit organizations as employers, which includes employment law matters and the employee benefit plans available to compensate their employees.
-Part E covers major corporate events and transactions involving nonprofit organizations, such as mergers, dissolutions, conversions, and tax-exempt bond financing for § 501(c)(3) organizations.
-Part F covers other legal considerations for nonprofits, including how to preserve and protect their intellectual property and different considerations for how they may intersect with, and partake in, social enterprise.
-Part G addresses the legal and tax issues unique to religious organizations. We hope to add chapters focusing on other special types of nonprofit organizations in the coming years.
