When an M&A deal involves real estate, things can get complicated quickly. Get comfortable handling these transactions and consider whether it is best to include the real estate purchase in your standard asset purchase agreement or to use a separate agreement. Also, learn the potential risks and benefits of assuming a commercial lease in an M&A deal.

This presentation will cover real estate considerations for a M&A specialist running a full transaction when a business acquisition includes title to real estate.  
 
- Specific considerations for addressing both business assets and real estate in structuring, due diligence, and closing logistics.  
- Agreement form alternatives – treating the real property as a “Purchased Asset” in the APA vs. using a separate real estate purchase and sale agreement.  
- Assuming real property leases in an M&A transaction.
- Tips on buyer and seller positions on key deal points.
- Focusing on deals with a total purchase price of $10,000,000 or less.
