Program Description
 
 
This interactive day will focus on a myriad of legal and accounting related issues you will encounter when a business is split up or wound down.   A fictional case study will be used to set the stage for a series of presentations by highly qualified attorneys and CPAs to explore the critical aspects that business owners and operators need to consider.  The premise will be a business in transition experiencing economic challenges, ownership with divergent objectives, questionable and inadequate accounting and legal records.
 
- When and how outside legal and accounting expertise need to be involved
- Fact finding issues:  Document production and discovery issues
- Forensic accounting issues: what to do when the records are suspect or in disarray
- Working with difficult clients or clients with competing objectives. Balancing the need for legal and financial expertise with the economics of the enterprise
- Considering the options:  liquidation, buy-outs, internal and external sales
 
Issues involving securities law, bankruptcy and commercial transactions will come into play with the fictional firm used to enhance the learning experience.
 
Time permitting, the day will also provide a quick series of critical issue updates on health care reform, estate tax and family law.   The day will be cap stoned with a presentation from a sitting judge with a “view from the bench.”
