Fundamentals of IP Law 2008

Program Description

Intellectual property law and practice touches many other areas of law practice, particularly business transactions.  Transactional counsel routinely come into contact with vitally important issues of technology protection and licensing, and brand protection and exploitation.  This year's institute features a special one-day sequence of presentations specifically designed for in-house counsel and business transactional attorneys who are not IP specialists but whose daily work and practice requires an understanding of intellectual property.  This is an ideal opportunity to learn more about IP basics, prepare for the Institute, and network with your colleagues.

Topics

Trademarks: The Basics
- What is a trademark? Relationship and distinctions from other forms of IP?
- Mark Selection and Securing and Enhancing rights through Registrations?
- General enforcement issues/strategies

Trademarks: Branding
- Trademark counsel's role in branding
- Brands on the internet
- Trademarks and brands in deals (security, equity, licenses, etc.)

Presented by:
Elizabeth Magnuson, Christine Searls, Peter Weinberg,  Stephen Horace and  Katina Banks

Licensing

Scope of License
- What is being licensed (software, patents, trademarks)? What uses are allowed (beta/evaluation, internal application, distribution)?
- What uses are excluded (especially in context of patent licenses)?
- What IP is covered (copyrights, patents, etc.)?
- Especially complex formats (e.g., distribution to only authorized licensees)
- Consider growing (already very large) role of ASP/SOS models (are they really licenses)?

Support
- Especially relevant in software context

Ownership
- Especially if there is development, who owns what?
- Consider various liabilities tied to design context
- Joint ownership – a terrible idea!

Warranties and Indemnification
- Different forms of licenses suggest different allocations of risk
- Economics of deal will also be meaningful

Payment
- How does the licensee compensate the licensor for the license?
- Seems basic, but many clients don't really have a clue
- Unlimited number of structures

Additional Considerations
- Escrow (source code)
- IP pools/grantback provisions
- Recent developments
