Serving on a nonprofit board can be both rewarding and risky. Attorneys who advise or serve as board members need to understand the fiduciary duties owed to the organization, including the duties of care, loyalty, and obedience. This program will explore how these responsibilities apply in practice, highlight common pitfalls, and provide strategies for balancing legal obligations with mission-driven decision-making.

- Identify the fiduciary duties of nonprofit board members and how they differ from corporate directors.

- Recognize ethical risks that attorneys face when serving on or advising nonprofit boards.

- Apply best practices to mitigate liability while supporting effective board governance.
