Taxable S Corporation Sales and New Section 336(e)  - A review of the newly created Section 336(e) election and how it relates to other corporate sales and structuring techniques. In 1986, Congress fundamentally altered corporate taxation by repealing the General Utilities rule. But Congress also created special tax elections that allowed corporate stock sales to be treated as assets sales. After many years, the Treasury Department recently issued final regulations describing the Section 336(e) election.
