How the Dodd-Frank Wall Street Reform and Consumer Protection Act Impacts Smaller Businesses
The Dodd-Frank Wall Street Reform and Consumer Protection Act (the Act) is a 2,323 page amendment to H.R. 4173 recently passed by Congress and expected to be signed into law by the President as this brochure goes to press.  This bill, ostensibly “big business reform” legislation, will actually have a significant impact on small businesses, especially banks, broker-dealers, and financial institutions.  Portions of the Act affecting small businesses include:
 
- Changes affecting mortgage-backed securities and mortgages in general
- Revised definition of “accredited investor”
- Changes to eligibility for Rule 506
- Enhanced Securities and Exchange Commission enforcement powers
- And other changes affecting small businesses, both public and private
