Mergers and acquisitions attorney Andrew Spruiell will provide a basic overview of the structuring and documenting asset purchases, stock purchases and the different forms of merger under Colorado law, along with legal and business points to consider when planning and negotiating the acquisition.

 

Attorney John Kellogg will provide an overview of the components of opinion letters, typical transaction opinions, necessary due diligence to support the opinions, and potential attorney liability for incorrect opinions.
