Internal Investigations: Practical, Legal, and Ethical Considerations for Business Lawyers
Good corporate governance requires attention to potential wrongdoing within a company. In house and outside corporate counsel have certain reporting obligations, and they typically play a significant role in helping the company decide whether and how to investigate potential wrongdoing and navigate the fallout from the investigation. Planning is the first step of a well-executed investigation. This presentation will provide a roadmap of critical issues for corporate counsel to consider in planning an investigation, including selection of the oversight body and investigative team, scoping and budgeting, insurance and advancement of expenses, factual investigation, protecting privilege, communicating with auditors, and recording the process and conclusions of the investigation. We will focus in more detail on those areas that pose ethical concerns.
