Grant Thornton Advisors, LLCMaxwell G. Mitchell leads the Purchase Agreement Advisory group for Grant Thorton. He has worked across a broad base of both corporate and private equity clients, providing buy-side and sell-side advice on the accounting aspects of purchase agreements, closing mechanisms (closing balance sheets and the 'locked box' mechanism) and the key value drivers (cash, debt and working capital) that determine the final price paid and received on deals. Max has worked across a variety of industries including consumer products, real estate and hospitality, industrial products, health care and life sciences and technology. He brings knowledge and experiences gained from advising on over 1,000 domestic and transatlantic transactions, ranging in value from under $50 million to over $5 billion. Max regularly presents on the accounting aspects of purchase agreements and is brought in as a thought leader on such matters. He co-authored the research papers “How to guard against rising M&A disputes” (2020), “Earn-outs: How to avoid pitfalls and protect value" (2018), and “A smarter way to get deals done: identifying international market practice for equity value adjustments and Sale and Purchase Agreements” (2017). Prior to relocating and establishing the U.S. team, Max worked for Grant Thornton and Ernst & Young in London (England). He is a Chartered Accountant (CA).
