Whitney A. Holmes

Whitney Holmes is a partner in Dorsey & Whitney LLP's Capital Markets & Corporate Compliance group. He focuses on M&A and corporation finance, corporate governance, and compliance. He represents public and private companies across diverse industries, including energy, engineering and construction, entertainment, health care, high-technology manufacturing, software, telecommunications, and private equity.
 
Mr. Holmes's transactional experience includes public and private securities; venture capital; syndicated bank financing; senior, mezzanine, and subordinated acquisition financing; and other capital markets transactions. He also represents acquirers and targets in cross-border and domestic M&A and joint venture transactions and is experienced in representing independent directors, special committees, and audit committees in going-private and related-party transactions.
 
He received his J.D. magna cum laude from Cornell Law School in 1987 and was admitted to practice in New York in 1988 and in Colorado in 1998. He served as an appointed member of the ABA Business Law Section's Corporate Laws Committee, which publishes the Model Business Corporation Act, from 2009 to 2015, and as chair of the Colorado Bar Association's Securities Law Subsection from 2002 to 2005. Mr. Holmes has been recognized as a leading business lawyer by Chambers USA, Best Lawyers in America, Colorado Super Lawyers, and the Denver Business Journal, and by BTI Consulting Group as a Client Service All-Star, 2-Year MVP.
 
Mr. Holmes is a Colorado native committed to community service, with particular interest in early childhood education and experiential education. He serves as chair of the Finance Committee of the Board of the Children's Museum of Denver and as co-chair of the Development Committee of the Board of Trustees of the Logan School for Creative Learning.
