Jeffrey R. Kesselman
Taft Stettinius & Hollister LLPJeffrey Kesselman, Esq., is the Managing Member in the Business and Corporate Department of Sherman & Howard's Denver office. Mr. Kesselman's practice involves counseling public and private companies with respect to a variety of corporate, securities and financing matters. Mr. Kesselman has represented issuers in public offerings and private placements of equity and debt securities and also advises clients with respect to mergers, acquisitions, dispositions, joint ventures, business restructurings and venture capital transactions. In addition, Mr. Kesselman counsels clients regarding Sarbanes-Oxley issues and related corporate governance matters, as well as general compliance and reporting obligations under federal securities laws and stock exchange rules. Mr. Kesselman joined Sherman & Howard in August 2000. Prior to that, he was an associate at the Denver law firm of Fairfield and Woods P.C. Mr. Kesselman has also worked at the Investment Counsel Association of America, a national not-for-profit organization based in Washington, D.C. that exclusively represents the interests of federally registered investment adviser firms. Mr. Kesselman is the co-author of the Chapter on Article 8 of the Uniform Commercial Code Concerning Investment Securities in the Colorado Methods of Practice, a treatise published by West Publishing Company. Mr. Kesselman currently serves as the Co-Chairman of the Securities Subsection of Colorado Bar Association. Mr. Kesselman received a Bachelor of Science in Business Administration in 1994 from Colorado State University, received a Juris Doctor in 1997, magna cum laude, from the Creighton University School of Law, and received a LL.M. in Securities and Financial Regulation in 1998, with honors, from the Georgetown University Law Center.
