Jeffrey A. Sherman

Jeffrey A. Sherman’s practice focuses in the areas of capital markets, securities regulation, corporate financing, mergers and acquisitions, and corporate governance for a variety of private and publicly held clients. He leverages experience in private practice and as deputy general counsel for an international, publicly traded medical device company to drive growth for clients.
 
He has extensive experience in many areas of corporate representation, including securities regulation, mergers and acquisitions, and general corporate counseling. He represents issuers and underwriters in initial and secondary public offerings, Rule 144A and other private placements, public debt offerings and public exchange offers, and tender offers. He also advises public companies on SEC reporting requirements, stock exchange listing standards, executive compensation issues, disclosure issues, and general corporate governance matters. Mr. Sherman earned his J.D. from the University of Michigan Law School in 1993 and was admitted to the New York bar in 1994 and the Colorado bar in 1996. He served as an editor of the Michigan Journal of Gender and Law. Mr. Sherman graduated cum laude from Miami University, where he received a B.A. in political science and psychology. He also serves as an officer in the JAG Corps of the U.S. Army Reserve and was deployed to Iraq as part of Operation Iraqi Freedom/Operation New Dawn. Mr. Sherman is a former chair of the Securities Subsection of the Colorado Bar Association Business Law Section and served on the Colorado Business Corporation Act revision committee.
