Brian A. Schnall's practice focuses on general corporate matters, including mergers and acquisitions, private equity transactions, and commercial contracts. He represents both buyers and sellers in negotiating, structuring, and drafting documents for complex transactions. In addition, Mr. Schnall functions as outside general counsel to clients. He advises clients on corporate and business matters, including entity choice and formation, corporate governance, and reorganizations. Mr. Schnall represents clients in a broad range of industries, including the restaurant, energy, technology, manufacturing, retail, and franchise industries.
 
Mr. Schnall has extensive experience representing franchisors in all aspects of franchise and distribution law. He assists franchisors in structuring domestic franchise programs, advises clients about compliance with applicable laws and administrative regulations, and drafts and reviews franchise disclosure documents and franchise agreements. Mr. Schnall also counsels franchisors on franchisee relationship matters, develops successful dispute resolution strategies, and assists franchisors in the reacquisition of rights from existing franchisees.
 
Mr. Schnall received his B.A., magna cum laude, from Washington University in St. Louis in 2002, and his J.D. from Washington University School of Law in 2007.
