Jason Day, Esq., is the Chair of the 375+ lawyer Business Group at Perkins Coie LLP and a member of the firm's executive committee. Jason serves as a trusted advisor to public companies on their most sensitive and high-value securities, corporate governance, and capital markets matters. He regularly counsels public company boards of directors and management on Securities and Exchange Commission (SEC) disclosure obligations, capital markets deals, environmental, social, and governance (ESG) disclosures, fiduciary duties, internal investigations, proxy advisory firm standards, and stockholder activism matters. Over his 20-plus year career, Jason has also represented issuers and underwriters in raising tens of billions of dollars in capital markets offerings, including underwritten equity and debt offerings, initial public offerings (IPOs), Rule 144A offerings, and convertible note offerings, among others. He also regularly counsels companies and their boards of directors on the acquisition and sales of public companies and other transformative mergers and acquisition transactions. Jason is a co-author of The Public Company Handbook: A Corporate Governance and Disclosure Guide for Directors and Executives and is a frequent speaker on a variety of public company topics.
