Mark A. Morton's practice involves corporate counseling, governance and opinion work. Mr. Morton regularly advises clients and provides formal legal opinions regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. He represents corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, reorganizations, asset sales, dividends, stock repurchases, charter and bylaw amendments, preferred stock designations, and dissolutions. He is frequently called upon to advise board and committee members concerning their fiduciary obligations, both in the context of daily business affairs and with respect to specific corporate transactions. A significant portion of Mr. Morton's practice is dedicated to representing special committees.  In recent years, he has worked with special committees of the boards of directors of a number of companies, including Genencor International, Inc., Hotels.com, IGEN, Inc., Insituform East, Inc., Kenetech Corporation, National Steel Corporation, Net2Phone, Rare Medium, Rental Service Corporation, Sodexo Marriot, TDK Mediactive, TicketMaster Online-City Search, Inc., Unico, U.S. Oncology and Venoco, Inc. He is a member of the Delaware State and American Bar Associations, and he is an active member of the Negotiated Acquisitions Committee of the American Bar Association's Section of Business Law, as well as its Task Force on Public Companies.
