Dentons US LLPMichael Maryn is a partner in Dentons' Pension, Benefits and Executive Compensation practice, with extensive experience in all aspects of employee benefits and executive compensation. Michael routinely counsels clients in the design and administration of qualified retirement plans. In the executive compensation area, Michael represents and counsels both employers and executives in negotiating employment agreements, change of control (parachute) agreements, severance agreements and retention agreements. Michael also counsels employers in the design and implementation of nonqualified deferred compensation arrangements, including compliance with Section 409A of the Internal Revenue Code, and of equity incentive plans, including stock options, restricted stock, stock appreciation rights, phantom stock, deferred stock and other performance awards. He has extensive experience handling equity and cash incentive arrangements for partnerships and limited liability companies, including arrangements utilizing profits interests and tiered partnership structures. Michael is a fellow in the American College of Employee Benefits Counsel.
