Cyrus Rajabi, Esq., is a shareholder in the Denver law firm of Jones & Keller, P.C. where he started his legal career after graduating law school in 2003 and where he now serves on the firm's executive committee. Cyrus concentrates his law practice in the areas of business, finance, securities, real estate, transactional, regulatory, and insurance law, including investment management and financial services, as well as representing private and public clients in connection with capital-raising activities, including, by way of example, early and late stage venture capital, exempt and public offerings of debt and equity securities, mergers and acquisitions, business formation and financing, venture and equity capital, corporate reorganizations, divestitures of businesses for both sellers and purchasers, business and technology transactions, international transactions, structured finance, and construction. Representative clients include emerging and established companies, mutual and hedge funds, broker-dealers, investment advisors, insurance and insurance holding companies, real estate developers, entrepreneurs, directors & officers, and individuals, assisting in connection with business, insurance, securities, real estate and regulatory matters including: commercial transactions; securities filings and periodic reporting; corporate governance, regulatory, enforcement and compliance matters; strategic alliances, joint ventures, licensing, and other strategic transactions as well as real estate transaction, title, development, and construction matters. Cyrus has experience representing borrowers and lenders in connection with financing complex real estate deals including conventional loans, mezzanine financing and commercial mortgage backed securities, as well as development and construction projects. In addition to his legal experience, as a principal in several Colorado business entities, Cyrus has over two decades of real estate development, ownership and management experience. Cyrus' business experience includes working with various federal, state and local agencies that impact clients' transactions and operations including the IRS, various state revenue and regulatory offices relating to real estate, insurance and enforcement, DOJ, FINRA, SBA, SEC and various local planning and zoning departments. With both legal and practical business experience, Cyrus is able to apply his integrated perspective to efficiently and effectively address clients' concerns and needs, often in innovative, more beneficial ways. Cyrus' combined legal, business, and entrepreneurial experience has proven beneficial to clients, particularly to start-up and growing ventures. Cyrus received his Juris Doctorate and Bachelor of Science in Operations Management with honors from the University of Colorado at Boulder and completed studies with the International Law Program through the Georgetown University Law Center and the Geneva Institute in Transnational Law through Duke University. He is an active member of the Denver business and charity community, supporting numerous causes with time and resources, including serving as an active member in Rotary International, service with the Arvada Fire Protection District as a volunteer firefighter (presently recovering from an injury), prior service as an associate board member with the Boys & Girls Clubs of Metro Denver, and has sponsored events or otherwise supported the Michael J. Fox Parkinson's Research Foundation, Haiti Relief, Houston Flood Relief, and the Special Olympics. Cyrus has been selected for inclusion in the Super Lawyers® publication, received the 40 under 40 award as a recognition of his commitment to professional excellence and contributions to the community, has been top-listed by Best Lawyers in America® in the area of real estate law, and has received the Martindale Hubbell highest rating, AV Preeminent, from his peers in the areas of Securities Law, Real Estate, Investment Law and Financial Services Law. Despite his accolades, his proudest achievements are, by far, as a supportive husband to his wife (who is newly entering the legal field) and as a beaming new Dad to their beautiful new daughter.
