Robert W. Walter

Robert Walter has practiced in the corporate, securities and finance areas since 1981. He represents clients in a wide range of securities and corporate finance transactions, including public offerings, placements and PIPEs, as well as negotiated business combinations and proxy contests. In December 2005, Bob served as sole counsel to a Colorado-based issuer which completed an IPO of over $100 million that was lead managed by Citigroup. Bob also advises boards of directors and board committees on corporate governance, compliance, fiduciary duties, disclosure and business judgment issues, and obligations imposed by the Sarbanes-Oxley Act of 2002. Bob has conducted internal investigations concerning financial and disclosure issues for audit committees of boards of directors and advises auditing and accounting firms on disclosure implications of financial matters. He has also served as an expert witness in securities litigation concerning corporate finance and compliance issues. In 2004 and 2005, he served as a member of the Standing Advisory Group to the Public Company Accounting Oversight Board. Since 2002, he has authored five books for attorneys, certified public accountants and entrepreneurs including Completing a Small Business IPO (Aspen Publishers), Financing Your Small Business (Barron's) and Corporate Ethics for Financial Managers (AICPA). Bob also has authored four eight-hour continuing education courses for the AICPA since 2000, including AICPA's Annual Business Law Update and Real World Business Ethics: How Will You React?  Bob is a lecturer for the AICPA and has been active in presenting continuing education courses in securities, compliance, finance and ethics throughout the United States since 1999. He received his Bachelor of Science degree in Business from Colorado State University and his JD from the Duke University School of Law.
