He advises clients in the tax aspects of structuring the formation, acquisition, disposition, spin-off, operation, recapitalization, and liquidation of corporations and partnerships/LLCs. Mr. Maxfield advises on mergers, acquisitions, leveraged ESOP transactions, natural resource farm-outs, farm-ins and other joint ventures, Section 1031 exchanges, capital markets transactions, complicated partnership/LLC transactions and equity compensation arrangements. Additionally, he frequently writes and speaks both nationally and locally on a variety of tax-related topics, including corporate reorganizations, LLCs, partnerships, tax-free exchanges, ESOPs, choice of entity and natural resources taxation.
