The 27th Annual Institute takes a deeper dive into a variety of nonprofit legal issues. Your day starts out with learning how the largest tax reform since 1986, the Tax Cuts and Jobs Act of 2017, impacts nonprofit organizations. Immediately following, hear a CPA’s perspective on areas of focus for boards and exempt organizations with Form 990 disclosures. Ethical Issues for Lawyers Sitting on Nonprofit Boards
Lawyers are invited to join the boards of nonprofit organizations for a variety of reasons, the best of which relate to the judgment and analytical and communication skills lawyers may bring to bear. Service on nonprofit boards, however, often presents lawyers with irresistible opportunities to exercise their legal training, with potential ethical implications. This presentation will review the most troublesome of these ethical considerations, including issues related to whether serving as a director may create a lawyer-client relationship, present conflicts of interest or raise concerns regarding competence.

Charitable Organizations and Immigration Law
Immigration law is frequently in the news, and charitable organizations are not deaf to the conversation, in part because many charitable organizations (whether knowingly or unknowingly) serve immigrants and their families. This presentation will discuss the basics of immigration law and will focus in particular on situations where the mission or activities of a charitable organization touch immigration issues. The presentation will also cover best practices for avoiding violations of immigration law.

Advising Nonprofit Organizations in Navigating Political and Campaign Finance Law  
The ever-changing political law landscape and campaign finance regulations contains many traps for nonprofit entities and the attorneys that advise them. This presentation will discuss recent developments in local, state, and federal campaign finance laws and regulations applicable to nonprofit organizations, including recent legislation and relevant court decisions. We will cover various topics, including registration and reporting obligations, campaign finance limits, the sponsorship of PACs and other separate segregated funds, entity formation, tax-exempt status and reporting requirements, corporate compliance, lobbying, grassroots lobbying and other forms of political advocacy, communications and voter contact, gift bans and government ethics rules applicable to elected officials and candidates for public office, and related constitutional and ethical issues designed to provide in-house counsel and attorneys with an interest in elections and campaign finance law a practical guide for navigating the political and campaign finance arena.

Exiting Your Nonprofit - Mergers, Sales, and “End of Life” Transactions
In contrast to formation, strategies to exit nonprofit status are far less understood.  “End of Life” transactions can include mergers, conversions, sales of assets, dissolutions, and changes of domicile. The presenter will shine his shoplight on extraordinary corporate events and strategic considerations that may lead a nonprofit corporation to choose one type of ending over another.

Member Rights and Board Responsibilities
The board of directors of a nonprofit corporation generally owes fiduciary duties only to the corporation itself, which, of course, is controlled by the board, and boards may be reluctant to engage in self-enforcement. The presence of a voting membership changes that dynamic and presents the board with an outside body that can become motivated to ensure that a nonprofit corporation is managed responsibly. Two presenters will explore the nature of the duties that boards owe to nonprofit corporations generally, the recourse and remedies available to a voting membership when the board fails to adhere to them, and actions that a board may adopt to defend itself.
