The Federal Financial Institutions Examination Council and its member agencies including the FDIC, Federal Reserve, and OCC, and several state banking regulators are pushing for more stringent rules and examination procedures for community banks under their oversight. Recognizing the need for guidance and the increased cost of compliance, these regulators are providing numerous resources for community banks to utilize in assessing and addressing their readiness to handle a cybersecurity incident.

Christopher R. Johnson, Esq. practices in Jones and Keller’s Banking, Lending & Financial Institutions, Business & Corporate, Securities & Finance, and Real Estate practice groups. He specializes in the representation of financial institutions with regard to regulatory matters, mergers and acquisitions, commercial lending transactions, and operational matters. In addition, Christopher represents public and private entities in several industries with regard to organizational formation and structure, venture and equity capital, public offerings and private placements of debt and equity securities, securities filings and periodic reporting, corporate governance, mergers and acquisitions, and other general business transactions. Prior to joining Jones & Keller, Christopher served as Vice President and Assistant General Counsel at NBH Bank, a regional bank with operations in Colorado, Kansas, Missouri and Texas, where he advised members of executive management on legal issues pertaining to banking and financial regulation, commercial and consumer lending, employment law, litigation, privacy and information security, and real estate. In addition, Christopher counseled his client regarding public company matters including corporate governance and application of SEC regulations to the Bank’s publicly-traded parent company, National Bank Holdings Corporation. Christopher also assisted with several major corporate transactions and events, including National Bank Holdings Corporation’s initial public offering in 2012 and issuer tender offer in 2015. He was also instrumental in NBH Bank’s upgrade of its core operating platform as well as its conversion from a national bank charter to a Colorado state-charter, both in 2015.
